These Terms & Conditions constitute a legally binding agreement between Sadabyte (“Company”, “We”, “Our”) and the Client (“Client”, “You”) who engages our services.

By purchasing or using our services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

1. Scope of Services

Sadabyte provides digital and creative services including but not limited to:

  • Logo & Brand Identity Design
  • Company Profile Design
  • Social Media Post Design
  • Video Editing
  • Social Media Campaign Management
  • Website Development (Custom, WordPress, Shopify)
  • Digital Marketing & Branding Solutions

The exact scope of work shall be defined in the official quotation, invoice, or written agreement.

2. Payment Terms & Obligations

2.1 A minimum of 50% advance payment is mandatory prior to commencement of any project.

2.2 The remaining balance must be paid before final delivery, transfer of files, or granting access credentials.

2.3 Monthly marketing services require full advance payment at the beginning of each billing cycle.

2.4 Failure to clear outstanding dues may result in suspension or termination of services without prior notice.

2.5 All payments made are subject to the Company’s Refund Policy.

3. Non-Refundability

3.1 Once work has commenced, advance payments shall be strictly non-refundable.

3.2 No refund shall be issued after delivery of initial concepts, drafts, or partial work.

3.3 In case of project abandonment by the Client, no refund shall be applicable.

4. Revisions & Change Requests

4.1 Revisions shall be provided as per the agreed package.

4.2 “Unlimited revisions” apply only within the original project scope.

4.3 Any request that significantly alters the original brief, adds new features, or requires re-design shall be treated as a new project and billed separately.

5. Client Responsibilities

5.1 The Client must provide all necessary content, images, credentials, approvals, and feedback in a timely manner.

5.2 Delays exceeding 15 calendar days due to Client inaction may result in project suspension without refund.

5.3 The Client is solely responsible for ensuring that provided content does not infringe any copyright, trademark, or intellectual property laws.

6. Intellectual Property Rights

6.1 Ownership of final deliverables shall transfer to the Client only upon full and final payment.

6.2 Until full payment is received, all intellectual property rights remain with Sadabyte.

6.3 Sadabyte reserves the right to showcase completed work in its portfolio, marketing materials, and social media platforms unless otherwise agreed in writing.

7. Advertising & Marketing Disclaimer

7.1 Sadabyte shall provide professional marketing strategies and campaign management services.

7.2 The Company does not guarantee specific sales, revenue, engagement, or lead results, as performance depends on market conditions, competition, ad budget, and platform algorithms.

7.3 Advertising budgets are separate from service charges.

8. Website & Technical Services

8.1 Website files, source code, or administrative access shall only be transferred upon receipt of full payment.

8.2 Sadabyte shall not be held liable for issues arising from third-party service providers including but not limited to hosting companies, domain registrars, payment gateways, or social media platforms.

8.3 The Company is not responsible for account suspensions due to policy violations by the Client.

9. Limitation of Liability

To the maximum extent permitted under the laws of Pakistan, Sadabyte shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use its services.

The Company’s total liability shall not exceed the amount paid by the Client for the specific service.

10. Termination of Services

Sadabyte reserves the right to terminate services immediately if:

  • The Client breaches payment obligations
  • The Client engages in unlawful, fraudulent, or unethical activities
  • The Client violates platform or advertising policies

No refund shall be applicable in such cases.

11. Governing Law & Jurisdiction

These Terms & Conditions shall be governed and construed in accordance with the laws of the Islamic Republic of Pakistan.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Pakistan.

12. Amendments

Sadabyte reserves the right to modify or update these Terms & Conditions at any time without prior notice. Updated terms shall be effective immediately upon publication.
